1. Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (whether personally or on behalf of an entity, “Merchant”, “User”, or “You”) and Technotricky (Proprietor: ABHISHEK KUMAR SINHA, MSME UDYAM: UDYAM-BR-21-0001440; “Company”, “We”, “Us”, or “Our”), governing your access to and use of the TezBilling POS software application, web platform, cloud synchronization services, and related digital tools.

By downloading, registering, purchasing, or using TezBilling, you expressly acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must immediately discontinue use of our services.

2. Scope of Services & Software License

TezBilling provides offline-first Point of Sale (POS), barcode inventory management, GST billing, digital receipt printing, and payment aggregation software for Indian retail and wholesale enterprises.

Upon payment of the applicable subscription fee, Company grants you a non-exclusive, non-transferable, revocable license to install and operate the software on the number of terminals/counters specified in your purchased plan. You may not reverse-engineer, decompile, distribute, rent, or sublicense the software to third parties.

3. Merchant Account & Security Obligations

You are solely responsible for maintaining the confidentiality of your account credentials, activation keys, and administrative logins. You agree to notify Company immediately of any unauthorized use of your account. The Company shall not be liable for any loss or damage arising from your failure to protect your authentication credentials.

4. Subscription, Pricing & Billing Policy

• All fees are quoted in Indian Rupees (INR) and are subject to applicable Goods and Services Tax (GST @ 18%) as per the laws of India.
• Payments are processed through RBI-authorized payment aggregators including Cashfree Payments India Pvt. Ltd. and Razorpay Software Pvt. Ltd.
• Subscriptions renew automatically unless canceled prior to the renewal date. Renewal notices are dispatched via email/SMS at least 7 days before the renewal date.
• Hardware bundles (printers, scanners) are sold as one-time hardware sales with manufacturer warranties as detailed on our Pricing Page.

5. Cancellation & Refunds

We stand behind the quality of TezBilling with an unconditional 7-Day Money-Back Guarantee for new software licenses. In case of dissatisfaction, merchants may request a refund within 7 days of initial purchase. 6. GST Invoicing & Compliance

TezBilling provides automated GST invoicing tools (HSN/SAC codes, CGST, SGST, IGST calculation). However, the Merchant remains solely responsible for the accuracy of their product tax slabs, customer GSTIN validation, and filing returns with the Goods and Services Tax Network (GSTN).

7. Intellectual Property Rights

All trademarks, service marks, logos, source code, UI designs, and database architectures are the exclusive property of Technotricky (Proprietor: ABHISHEK KUMAR SINHA). Any unauthorized replication or trademark infringement is punishable under the Indian Copyright Act, 1957, and Trademarks Act, 1999.

8. Limitation of Liability

To the maximum extent permitted by applicable Indian law, in no event shall Company, its directors, or employees be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, data, or business interruption. The aggregate liability of Company shall not exceed the total subscription fee paid by the Merchant in the preceding three (3) months.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, controversy, or claim arising out of or relating to these Terms shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996.
